1. Introduction & Engagement Protocols
These Terms of Service ("Terms") dictate the operational parameters for engaging Adostrophe Digital Marketing Private Limited. Adostrophe is committed to executing enterprise-grade digital services with strict adherence to defined Service Level Agreements (SLAs).
2. Operational Scope & Service Agreements
Client engagements commence following the mutual execution of a formal Scope of Work (SOW). This document, integrated within a custom commercial proposal, delineates specific technical services, deliverables, deployment timelines, and financial terms.
- Agreement Execution: The executed proposal and SOW constitute the binding Master Service Agreement (MSA) for the deployment.
- Scope Modifications: Any alterations to the defined operational scope must be documented via formal change orders and approved by authorized representatives of both parties prior to implementation.
3. Commercial Terms & Invoicing Protocols
Commercial terms are customized based on deployment requirements. Definitive pricing is established exclusively via formal, written proposals.
- Spatial Documentation (Matterport/360°): To secure logistical resources and deployment scheduling, a 100% advance payment is required prior to on-site capture operations.
- Retainer & Development Services: Payment schedules for continuous operations (e.g., SEM management) or milestone-based deployments (e.g., web architecture) are explicitly defined within the SOW.
- Financial Flexibility: Adostrophe evaluates project viability comprehensively and may offer structured payment protocols for qualifying enterprise or public sector deployments.
4. Intellectual Property (IP) Rights
Upon receipt of full and final payment, Adostrophe transfers exclusive intellectual property rights and ownership of the completed deliverables to the client. Adostrophe retains the right to feature completed deployments within corporate portfolios and marketing collateral, subject to the constraints of any executed Non-Disclosure Agreements (NDAs).
5. Data Governance & Confidentiality
Adostrophe enforces strict data governance protocols regarding all non-public, proprietary client information. Confidential data is not disclosed to third-party entities without explicit written authorization, except as mandated by statutory legal requirements.
6. NGO & Public Sector Deployments
Adostrophe provides subsidized digital infrastructure services for registered Non-Governmental Organizations (NGOs) and public sector entities. Operational protocols for these deployments are designed to accommodate specific administrative and budgetary constraints while ensuring compliance with programs such as the Google Ad Grant.
